IS RECRUITING THREE (3) INDEPENDENT DIRECTORS"},"content":{"rendered":"<p>Under the authority of the Board of Directors, the role of the Independent Director is to ensure that the interests of shareholders and interested third parties are protected independently.<\/p>\n<p><u><strong>Main duties and responsibilities<\/strong><\/u><\/p>\n<ul>\n<li>Chair the Audit Committee in the performance of its supervisory and control duties;<\/li>\n<li>Chair the Guarantee Committee and ensure that the Fund&#8217;s guarantee policy is constantly in line with the requirements of prudential regulations and the financial markets within its sphere of activity;<\/li>\n<li>Assist the Governance and Remuneration Committee in the effective implementation and dissemination of the Fund&#8217;s best governance practices.<\/li>\n<\/ul>\n<p><u><strong>Profile required<\/strong><\/u><\/p>\n<ul>\n<li>Have a BAC + 5 degree in one of the following areas: Banking, Economics, Finance, Business Administration, Management, Business Law, Statistics, Planning, Project Management or equivalent;<\/li>\n<li>At least twelve (12) years post-qualification or comparable experience in an international or reputable audit or financial firm;<\/li>\n<li>Ten (10) years&#8217; experience or comparable experience as Administrator in charge of finance, compliance and audit on the Board of Directors of a renowned international institution;<\/li>\n<li>Sound knowledge of strategic management, IT and ICT;<\/li>\n<li>Fluency in French (spoken and written) and good knowledge of English and\/or Portuguese (an asset);<\/li>\n<li>Be a national of one of the fourteen (14) FAGACE member states;<\/li>\n<li>Not have been an external auditor of FAGACE, nor its partner or employee for the last three (03) years;<\/li>\n<li>Have no material relationship with the Fund and have not been an employee or officer of the Fund;<\/li>\n<li>Not represent any shareholder or group of shareholders, and not have any family ties with the Fund&#8217;s senior management or the close family of a member of management;<\/li>\n<\/ul>\n<ul>\n<li>Be of good character and not have been charged with fraud or dishonesty or convicted of a criminal offence or declared bankrupt or disqualified from acting as a Director;<\/li>\n<li>Not be an Executive Director, nor hold a position as a member of the Management Committee, nor have held one of these positions during the ten (10) years preceding his or her appointment;<\/li>\n<li>Not to have served on the Board of Directors as a non-executive Director for more than three (03) successive terms, up to a maximum of twelve (12) years;<\/li>\n<li>Not to have been a member of the management staff or of an entity in a business relationship with FAGACE for a period of less than ten (10) years prior to his or her appointment;<\/li>\n<li>Not represent the interests of any of the Fund&#8217;s shareholders;<\/li>\n<li>Not have, or have had in the ten (10) years prior to his or her appointment, a significant business relationship with FAGACE, either directly or indirectly through an intermediary;<\/li>\n<li>Not to have any relationship with other Directors of the Fund by virtue of their functions in other entities or bodies;<\/li>\n<li>Not to have any affiliation up to and including the second degree with any Director or member of the Management Board exercising
